Lexcomm acts as lead counsel in a complex Vietnam fintech divestment
Dec 04 2016

Premier Vietnamese law firm Lexcomm Vietnam LLC advised the majority shareholders of VNPT Electronic Payment JSC (VNPT Epay) on the disposal of 62.5% of their shares to South Korea’s private equity fund UTC Investment Co., Ltd.

VNPT Epay is one of Vietnam's leading providers of electronic payment services, and the transaction required specialist expertise in a number of key practice areas, including mergers and acquisitions, e-commerce in financial services, data protection, technology development and procurement, and intellectual property.

The Lexcomm team, acting as lead counsel for VMG Media Group throughout the whole transaction, was led by TMT partner Nguyen Viet Ha who has a long-established reputation advising fast-growing fintech companies in the financial services and technology sectors in Vietnam, and assisted by senior associate Le Lien Huong. Lexcomm office in Ho Chi Minh City was also involved in the transaction.

Commenting on the transaction, Hanoi-based partner Nguyen Viet Ha said: “It’s a privilege to have assisted the VMG team on their US$33.8 million divestment in VNPT Epay as a strategic business move to drive growth. We pride ourselves in working with the highest calibre clients and counterparties in such transactions, which were negotiated in a very tight time frame.

The success of this landmark transaction in the Vietnam market represents a remarkable accomplishment for our legal team, demonstrating the depth and breadth of our FinTech transactional, advisory and regulatory expertise and experience to deliver top-quality technical legal excellence to Vietnamese and international clients”.
