  • Luu Thi Xuan Trang is a Counsel of Lexcomm Vietnam LLC, based in Ho Chi Minh City, Vietnam. 

    Xuan Trang has over 13 years of legal practice, including more than 11 years with a leading foreign law firm in Vietnam. Her areas of expertise include all aspects of corporate and commercial advisory practice, focusing primarily on mergers and acquisitions, corporate and project finance, restructuring, commercial and real estate projects.

    During her legal practice, Xuan Trang has gained highly-regarded and significant experience and strong expertise in advising leading international and Vietnamese corporations across a wide range of industry sectors (including manufacturing, banking and finance, pharmaceuticals, FMCG, property development and services sectors) in structuring their business and investments as well as managing their corporate governance and daily operation in Vietnam.

    Xuan Trang has developed technical excellence from being involved in a large number of major and complex M&A, banking and finance transactions, corporate restructuring. She also has proven track records of advising numerous major multinational banks and financial institutions in connection with the development and implementation of their financing projects, debt and equity structuring, derivatives and structured products in Vietnam.

    Professional background

    Xuan Trang graduated with a first-class honours degree from the Faculty of Commercial Law of the University of Law of Ho Chi Minh City in early 2004, and was ranked among the top of her class.

    After graduation, Xuan Trang started her legal career at a leading foreign law firm in Vietnam. In early 2008, Trang was awarded an Australian Development Scholarship by the Australian Government to study commercial laws at Master degree (LLM) at the University of Melbourne, Australia. 

    She is a member of the Ho Chi Minh Bar Association.

     

    Major Projects and Clients

    Xuan Trang has advised on a broad variety of major transactions, including:

    • advising a leading financial services company based in Hong Kong on an offshore swap arrangement, which involves certain guarantees and share pledges from a major Vietnamese listed company and its Vietnamese major shareholder
    • advising in drafting and negotiating the loan facility and security documentation with respect to many financing project, including a proposed financing of a bridge and tollway project
    • advising a large AAA-rated international commercial bank on a proposed acquisition of a loan portfolio (and attached security) of one of Vietnam’s leading commercial joint stock banks
    • advising in relation to the proposed assignment of debt under a loan from a leading international financial institution to a local commercial bank in Vietnam, from the restructuring of the current debt to the negotiation of the legal structure for the loan assignment and drafting of relevant transaction documents
    • advising JPMorgan Chase Bank N.A. in relation to regulations concerning the opening of accounts holding cash and/or securities, as well as other professional operations of commercial banks, fund management companies, securities investment funds, open-end funds and securities companies
    • advising three international lenders on restructuring the financing of an infrastructure project in Ho Chi Minh City
    • advising on the trading and distribution of local currency government securities (both exchange traded and OTC) and corporate debt securities
    • advising a large German bank on certain regulatory and compliance issues, including shareholder disclosure obligations with regard to listed companies
    • advising a multinational investment fund in the restructuring of a range of companies in the telecom sector through share swap structures
    • advising an international investment fund in its US$106 million acquisition of a group of companies owning four separate large property development projects in Vietnam from Indochina Land Holdings 2 Ltd;
    • advising Suntory Holdings Limited on its acquisition of a 51% interest in PepsiCo’s Vietnam beverage business
    • advising Fosters’ Vietnam on the divestment of its breweries valued US$105 million in Vietnam
    • advising one of the leading full-line securities company in Japan on certain legal aspect in relation to a private placement for a M&A involving the sale of a significant interest in a large State-owned enterprise in Vietnam
    • advising a pharmaceutical company in relation to its proposed acquisition in a local Vietnamese pharmaceutical company
