  • Nguyen Hong Hai is a Partner of Lexcomm Vietnam LLC. Hai is an enthusiastic lawyer with more than 15 years of experience practicing in the Vietnam and international legal market.

    He is highly regarded for his enthusiasm, distinctive vision, pro-activeness and versatility as a young yet experienced corporate and commercial attorney, with the main focus on areas of Merge and Acquisition (M&A), inbound and outbound Cross-border Investments, Infrastructure, Mining and Natural Resource, Insurance, Corporate Governance and Compliance, Employment and general Corporate.

    Hai also has extensive experiences in Litigation and Alternative Dispute Resolutions, and has represented many foreign corporate clients dealing with cross-border disputes between international clients and their business partners in Vietnam, as well as shareholders’ disputes among international investors in joint-venture businesses in Vietnam. Hai’s litigation experience involves both mutual conciliation and litigation at courts in Vietnam as well as arbitration at SIAC and VIAC.

    Hai has been ranked as Recommended Lawyer by Legal 500 Asia Pacific 2021-2023, Band 2 lawyer in Employment by Chambers Asia Pacific 2021-2023, Dispute Resolution Star by Benchmark Litigation Asia Pacific 2019 and Litigation Star by Benchmark Litigation Asia Pacific 2020-2022 in the practice areas of Energy, Commercial and Transactions.

    Hai holds a Bachelor of Laws from Hanoi Law University and a Master of Laws (LLM in International Law) from the Transnational Law and Business University, South Korea.

    Hai is admitted to practice in Vietnam as a qualified lawyer of the Hanoi Bar Association and a member of the Vietnam Bar Federation.

    Hai has advised on a broad variety of major transactions, including:

    • advising an international tobacco client in relation to due diligence and regulatory compliance for an offshore acquisition of the holding company of Vietnam assets including a tobacco joint venture company;
    • advising an international client in relation to due diligence for a proposed US$300,000,000 acquisition of shares in a joint venture cement company in the North of Vietnam
    • advising on the transfer of shares among shareholders in numerous foreign owned companies in Vietnam
    • advising a group of buyers to acquire a five-star hotel in Hanoi
    • advising a group of Vietnamese sellers in a transaction to sell majority of their shares in a top tier manufacturing company in Vietnam to a Japanese buyer
    • advising the Vietnamese sellers in a US$110 million transaction to sell their entire share and interest in a leading sanitary napkin manufacturing company to a leading Japanese buyer in the same sector
    • advising a group of Singaporean sellers of a Tanzanian telecommunications operator in relation to its sale of telecommunication business in Tanzania to a major Vietnamese telecommunication operator
    • advising a Malaysian investor in an acquisition of US$11,000,000 company in food and beverage sector
    • advising Singaporean investment fund on its acquisition of shares/equities in a number of sea-food manufacturing companies in Vietnam
    • advising a Korean investor on the acquisition of select real estate properties in Ho Chi Minh City, Vietnam
    • advising an international client on the acquisition of an off-shore holding company of a foreign-invested enterprise in Vietnam in IT sector
    • advising the buyer in an acquisition project of a hydro power plant in the North of Vietnam
    • advising a German-based investor on an acquisition of a Vietnamese company through convertible debt
    • advising a British company on setting up a joint venture company in Vietnam for manufacturing tobacco products for local market and in entering into a license agreement with a local tobacco manufacturer
    • advising a US-based client in drafting and negotiating distribution agreement with its local partners, setting up subsidiary to supervise the performance of the local distributor and advising on the gradual buying-out structure of related companies
    • advising Japanese investors in relation to a proposed PPP (private public partnership) water treatment project in Vietnam;
    • advising the owner of 02 gold-mining projects in Vietnam in its tax dispute against improper tax decisions of the General Department of Taxation of Vietnam
    • advising an international investor in its renewable wind farm projects in the South of Vietnam;
    • advising a Japanese MNC on a farm waste methane-gas-recapture project for fueling a nearby power plant near HCMC, Vietnam (CDM carbon-credits project)
    • advising on a coal-fired power plant project in Vietnam through reviewing, commenting project documentation;
    • advising a Japanese energy company on the financing aspect of a project to design, build, commission and operate a waste to power facility in Vietnam
